Acceptance: By accepting quotation or placing an order with K & S Machining, LLC, seller hereby agrees to these terms and conditions.
Quotation and Lead Times: Quotes are estimates only, based on the quantities requested. K & S Machining, LLC reserves the right to adjust the price and lead time of quoted parts due to increases in the cost of materials or changes in quantities. Quotations will be valid for 30 days.
Cancellations: K & S Machining, LLC does not allow cancellations once a job has been started (i.e., materials or tooling purchased). If a cancellation is requested, please contact us immediately to discuss possible options.
Payments: Payment terms shall be net 30 days, unless otherwise requested and agreed upon. K & S machining LLC reserves the right to ask for down payment or payment in full for certain applications (i.e., new product, new customer, prototyping, small quantity orders). Any past due payments are subject to 5% monthly interest and a minimum $20 late fee.
Payment Forms: K & S Machining, LLC can accept payment via: Personal or Business check, Cashier’s Check, Credit Card, and PayPal. Please note that when paying via Credit Card or PayPal, a 3% convenience fee will be added to your invoice.
Warrantee: Goods are manufactured to customer designs and specifications and therefore DO NOT carry any type of warrantee. K & S Machining, LLC will however warrant any non-conforming product if the event should arise. See “acceptance of product.”
Acceptance of Product: Upon delivery the buyer is responsibly for inspecting the goods received. If product is found to be non-conforming, the buyer has no more than 14 days to file a written explanation requesting a deposition from the seller.
Indemnification: Buyer agrees to indemnify and hold harmless K & S Machining, LLC, against all liability, demands, claims, loss, cost, damage, property damage, death, or personal injury arising out of, as a result of, or in connection with the design or use of goods subject to this order.
Other Indemnification: Buyer agrees to defend at its own expense, indemnify and hold harmless K & S Machining, LLC from all claims of patent infringement or trade secret misappropriation arising from its performance under these Terms and Conditions, including damages, costs and attorney’s fees.
